Our professional reputation depends upon our discretion and trustworthiness. We receive numerous business plans, many of which have similar ideas. For this reason, it is inOvate's policy not to sign non-disclosure or non-compete agreements prior to receiving any information regarding business plans. In order to evaluate plan submissions, inOvate distributes them among its investment committee and may distribute them to employees, as well as to a select group of external advisors. By sending us a business plan or business idea, you acknowledge that although inOvate will use reasonable efforts to preserve the confidentiality of your business plan, inOvate cannot guarantee that it will remain confidential. In addition, inOvate or its affiliates may already be pursuing a similar idea, so neither inOvate nor any of its affiliates or portfolio companies can promise you that they will not compete with the business or technology described in your business plan. By submitting your plan you waive all rights to sue inOvate its subsidiaries, affiliates, and other related companies, and their respective officers, directors, employees, shareholders, advisors, and other agents or representatives for claims based on alleged breaches of confidentiality obligations or violations of proprietary rights, notwithstanding any contrary language in your plan. In addition, submission of a plan does not obligate inOvate to assist or fund the company in any manner or for any minimum amount. In no event will inOvate its officers or directors be liable for any damages in connection with the use of a business plan submitted by you, including, without limitation, direct, indirect, special, incidental, punitive, or consequential damages or losses of any nature, including, without limitation, lost profits or revenues, regardless of whether any such claim is based in warranty, contract, negligence, tort or otherwise, even if inOvate has been advised of the possibility of such damages or losses.
